SEO Performance Disclaimer
Search engine optimization is influenced by many external factors that are beyond the control of any agency or service provider. While we apply industry best practices and data-driven strategies, we cannot guarantee specific outcomes including:
- Exact search engine rankings or position on Google, Bing, or other search engines
- Specific levels of organic traffic, leads, or conversions
- Timeline for when results will become visible
- Immunity from ranking fluctuations due to algorithm updates
SEO performance depends on competition, search engine algorithms, website history, content quality, technical infrastructure, market dynamics, and many other variables. Our role is to apply the most effective strategies and continuously optimize based on performance data. We are committed to transparency and will keep you informed about progress and adjustments throughout the engagement.
Intellectual Property
Intellectual property rights are handled with care to protect both parties:
- All proprietary strategies, methodologies, frameworks, and tools developed by our team remain our intellectual property
- Custom content, reports, and deliverables created specifically for a client are transferred to the client upon full payment
- Client-provided content, branding, and materials remain the client's property at all times
- We may use anonymized or aggregated data and insights for internal improvement, case studies, or marketing only with explicit client consent
Neither party may use the other's intellectual property without prior written consent. Any use of our brand name, logo, or case study content requires our approval, and similarly, we will seek your approval before referencing your brand publicly.
Confidentiality
Both parties agree to maintain the confidentiality of all sensitive information shared during the engagement. This includes but is not limited to:
- Business strategies, revenue data, customer information, and internal processes
- Website access credentials, analytics data, and search console information
- SEO strategies, keyword targets, and competitive analysis findings
- Proprietary methodologies, reporting formats, and tool configurations
Confidential information will not be disclosed to third parties without prior written consent, except as required by law or as necessary for service delivery (such as using third-party tools under secure agreements). This confidentiality obligation survives the termination of the service agreement.
Third-Party Tools
In the course of delivering our services, we utilize various third-party tools and platforms. These may include:
- Analytics platforms such as Google Analytics, Adobe Analytics, or similar tools
- SEO software including Ahrefs, SEMrush, Moz, Screaming Frog, and similar platforms
- Project management and communication tools like Slack, Asana, or Notion
- Reporting and data visualization platforms
While we select reputable and secure tools, we are not responsible for the performance, downtime, data handling, or policy changes of these third-party services. Clients are responsible for any subscription costs of tools they choose to use independently. We ensure that all third-party tools used in our process comply with relevant data protection standards.
Limitation of Liability
Our liability is limited to the fullest extent permitted by applicable law. Specifically:
- We are not liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services
- Our total liability for any claim shall not exceed the total fees paid by the client for the specific service in question during the prior three-month period
- We are not responsible for losses resulting from changes to search engine algorithms, third-party platform outages, or client's failure to implement recommendations
- We are not liable for any loss of data, revenue, or business opportunities that may occur during the engagement
This limitation applies to all causes of action, whether based on contract, tort, or any other legal theory. We recommend that clients maintain appropriate insurance and backup strategies for their digital assets.
Termination of Services
Either party may terminate the service agreement under the following conditions:
- Either party may terminate with 30 days written notice to the other party
- Immediate termination may occur if either party materially breaches the agreement and fails to remedy the breach within 14 days of written notice
- Upon termination, the client is responsible for payment of all services rendered up to the termination date
- We will provide a transition period to hand over relevant files, reports, and access credentials in an orderly manner
- Any confidentiality and intellectual property obligations survive termination
We aim to make transitions as smooth as possible and will cooperate fully during the handover process. Early termination fees, if applicable, will be specified in your individual service agreement.
